The agreement outlined below establishes the terms and conditions between you and Founnect Solutions LLP (“Founnect.com,” “we,” or “us”), the operator of Founnect.com (the “Website”). Your use of the Website, and/or your registration with us, signifies your acceptance of these Terms & Conditions, including your consent to the information practices outlined in our Privacy Policy, which is incorporated herein by reference. By agreeing to these terms, you also affirm your commitment to comply with applicable laws, as governed and interpreted by the country (hereinafter referred to as “India”). It’s important to note that we provide the Website “AS IS” and without warranties. If you are registering an account or using the Website on behalf of an individual or entity other than yourself, you warrant that you are authorized by such individual or entity to accept these Terms & Conditions on their behalf.

Furthermore, you acknowledge that Founnect.com reserves the right to modify, enhance, remove, or adjust the specific methods, features, and services offered on Founnect.com at any time, solely at its discretion and without prior notice. If you do not agree to any of these terms, please refrain from using this Website.

GENERAL TERMS:

1.founnect.com bears no direct or indirect responsibility for the consultation and assistance provided by professionals. We are a technology company facilitating professional service providers’ access to client demand through our platform. Founnect.com exercises no control over the services provided by the professionals listed on our platform, as they operate independently of Founnect and are not our employees. Founnect.com will not be held liable for any issues or discrepancies arising from the services provided by these professionals.

All materials and information on the Website are provided for informational purposes only and may not reflect current legal developments or variations in the law across different jurisdictions. The materials and information on the Website do not necessarily reflect the opinions of professionals, clients, or affiliates. The information on the Website is not guaranteed to be correct, complete, or up to date. Mere receipt of an email from or a “post” on the Website does not establish a professional-client relationship. The professional listed and their firm are solely responsible for providing services to you, and you acknowledge that Founnect.com shall not be liable for any damages or costs arising from your use of such services, including claims based on malpractice. Any claims arising from your relationship with a professional must be directed solely against that professional, as Founnect.com merely aggregates professional service demand generated on the website for listed professionals to facilitate their respective practices. Neither Founnect.com nor any of its licensors or affiliates shall be party to such claims.

1. USING THE FOUNNECT.COM WEBSITE:

All users must be eighteen years of age or older. In the case of minor consumers (under eighteen years), a parent or guardian must accept this Agreement and oversee all consultations under the services offered.

The user assumes full responsibility for ensuring the accuracy of the information  submitted. Founnect.com will not attempt to verify any information provided by the consumer regarding content, correctness, or usability. We aim to provide the best service possible and may request additional information as needed.

2. HOW DOES IT WORK?

If you opt for a Paid Service on Founnect.com, you will incur a fee. This fee is paid to the Professional and serves as compensation for their time spent providing you with services within a limited-scope Professional-client relationship. Additionally, a portion of the fee is allocated to cover Founnect.com’s technology maintenance and other operational costs. The fee paid for paid services is specifically for the defined scope of services offered for that particular booking. Following the consultation, you may choose to further engage the Professional directly for additional services, but Founnect.com bears no responsibility for the consultation and assistance provided by the Professionals. Upon payment of the fee and confirmation of your booking, you will receive notification via email, SMS, and/or phone.

WE DO NOT IN ANY WAY SOLICIT, ENDORSE, OR PROMOTE ANY INDIVIDUAL LISTED ON OUR WEBSITE. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION.

3. INDEPENDENCE OF PROFESSIONALS

The insights, advice, and responses (collectively referred to as “consultations”) provided by Professionals via Founnect.com represent their individual and autonomous viewpoints. These opinions and statements are not reflective of the views held by Founnect.com, its affiliates, or any associated organizations or institutions with which the Professional may be affiliated or provide services. Founnect.com neither endorses nor recommends specific Professionals, products, procedures, opinions, or other information that may be referenced on the platform or by a licensee of Founnect.com. FOUNNECT.COM serves as a technology platform enabling individual professionals to showcase their services, thereby expanding their access to clientele in addition to their traditional offline engagements.

The presence of professionals and specialists on Founnect.com or within any professional directory hosted on Founnect.com does not constitute an endorsement or recommendation of said professionals. The information provided is not intended as a means of verifying the credentials, qualifications, or abilities of any professional listed therein. Such information is presented “as-is,” and Founnect.com expressly disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

By using Founnect.com, you acknowledge that the Professionals engaging with the platform are not employed by or acting as agents of Founnect.com. While Founnect.com requires Professionals to furnish basic information about themselves, and although this information is relayed to users, Founnect.com does not independently verify such information. Consequently, Founnect.com makes no assertions regarding the qualifications of any Professional. The listing of a Professional on the website, as well as any information or responses provided by them, should not be construed as an endorsement, recommendation, or referral by Founnect.com.

We do not assert that the quality of professional services offered exceeds that of services provided by other Professionals. We encourage all prospective clients to conduct their own independent research and assessment before considering any Professional.Top of Form

4. MEMBERSHIP TERMS

You confirm and guarantee that you are at least eighteen years old and have the lawful capacity to enter into agreements related to Membership Terms, to sign up on founncet.com under your own name, and to utilize the founncet.com services according to the Membership Terms, complying with the responsibilities outlined herein.

Neither party possesses the authority, whether as an agent, employee, or in any other capacity, to represent, act on behalf of, bind, or otherwise undertake obligations for the other party for any reason whatsoever.

By actively using this website and/or registering for its services, you are electronically signing these Terms & Conditions and giving your consent to engage in electronic agreements with us.

The website must be used in a manner consistent with good faith, refraining from transmitting false information or information that you are not authorized to share under any legal or contractual obligations (such as privileged or confidential information from employment or nondisclosure agreements). It must not be used to threaten, harass, or violate the rights of any individual or entity, infringe on intellectual property rights, or engage in any behaviour that could be considered unethical, illegal, or offensive.

You are prohibited from misrepresenting your identity or impersonating any individual or entity, or falsely claiming or misrepresenting your association with a person or entity (e.g., pretending to be someone else or from a different company or organization).

Without our prior written consent, you are not allowed to post advertisements or promotional content, solicit participants or visitors to the founncet.com website, copy, sell, or exploit any part of the website or its services for commercial purposes, or use the website or its services in a manner that infringes on the Terms & Conditions.

You are not allowed to use any form of computer ‘worm,’ ‘virus,’ or similar devices that are intended or likely to disrupt, overload, or impair any part of the founncet.com website. Should such conduct occur, the resulting damages will be challenging to quantify with a fixed amount. Therefore, you agree to pay liquidated damages of INR 50,000 for each day that the website remains damaged until fully repaired, along with additional unquantified damages resulting from your actions. This sum is based on estimating (1) the loss of goodwill due to an inoperative website, and (2) the time and resources required to restore functionality and address visitor concerns. We will make reasonable efforts to promptly repair the website. This provision does not prevent us from seeking further compensation if your actions harm us beyond what is explicitly stated here.

You are prohibited from gathering or storing personal information about other users. Accessing the founncet.com website for data mining or extracting content beyond your personal use is also not allowed.

You are authorized to use the founncet.com website to find professionals for services related to your issues and to gather general information about similar cases, which are defined as “Permissible Uses.” Any other use of the website is not permitted except for Permissible Uses as outlined above. “Impermissible Uses” include but are not limited to soliciting, hiring, engaging, or working with founncet.com’s employees, affiliates, or lawyers, or interfering in their relationships. If such conduct occurs, damages will be difficult to quantify, and you agree to be liable for these damages. This provision does not limit founncet.com’s right to seek appropriate legal relief, including injunctive measures.

5. SCOPE OF SERVICES

Founncet.com, along with its owners, employee staff, and third-party professionals providing services through the website, disclaims any liability for medical, legal, or financial events or outcomes arising from services obtained via the website.

Founncet.com does not guarantee that web-based, over-the-phone, or in-person/video consultations are appropriate solutions for specific problems.

6. NON-CIRCUMVENTION

All the registered professionals on Founnect platform including but not limited to legal consultants, Chartered Accountants, Company Secretaries, or any other professional as the case may be (hereinafter referred to as “Professional”) registered on Founnect.com (Founnect Lawyer and/or Founnect) platform shall not, under any circumstances, seek to obtain contact details from the clients and/or Lawyers using the Founnect App (Founnect and/or Founnect-Lawyer app) nor shall they share any kind of contact details including but not limited to phone, email, Twitter, Facebook, office address, etc., with any client and or Lawyer received any call through the platform.

All communications, financial transactions, and interactions between the professionals and the clients initiated through the Founnect must occur exclusively on Founnect platform’s built-in communication tools. This is to maintain the integrity of the platform, to ensure the privacy and security of all parties involved, and to comply with data protection laws and regulations. Any circumvention of the platform directly or indirectly is not encouraged. Founnect reserves the right to seek details from the platform users and may choose to implement any kind of Artificial Intelligence equipped tool without compromising on the confidentiality of the platform specifically to monitor non-circumvention. This will be done while respecting the privacy of the Legal Professional and the Client, in accordance with Founnect’s Privacy Policy.

6 (a). Exceptions to this clause may only occur when a separate agreement is signed between the Legal Professional, the Client, and Founnect. The approval of such an agreement is at the sole discretion of Founnect.

6 (b). Violation of this clause may result in the immediate suspension or termination of the Professional’s Founnect account, with or without prior notice.

6 (c). Clients are encouraged to promptly report any request for personal contact details from a Legal Professional to Founnect. Similarly, Professionals are obligated to report any unsolicited provision of personal contact details by a Client.

7. ELECTRONIC PAYMENTS

Founnect.com may, from time to time, engage third-party payment service providers, including banks, to establish nodal bank accounts under applicable Indian laws. This facilitates payments between users (buyers and sellers) and the collection of Platform Fees and other charges. These third-party payment service providers may include banking or credit card payment gateways, payment aggregators, cash on delivery or demand draft/pay order on delivery service providers, mobile payment service providers, or any other facility authorized by the Reserve Bank of India for payment collection, refund, and remittance, as required.

You acknowledge, understand, and confirm that the bank/debit/credit card details provided by you for using Founnect.com services will be accurate and correct. You enter these details directly on the third-party payment service provider’s webpage, and Founnect.com does not have access to your payment details.

Your utilization of these Third-Party Payment service providers is governed by their respective Terms & Conditions. You acknowledge that Founnect.com is not responsible or liable for the actions, features, or content of any Third-Party Payment service provider.

Founnect.com cannot assist with stop payment requests for payments scheduled using a Payment Account credit/debit card. In such instances, you must immediately and directly contact your credit/debit card company or bank.

8.    PAYMENT, CANCELLATION & REFUND POLICY

8 (a). Payment Policy: All fees must be paid upfront before accessing any paid service at Founnect.com.

8 (b). Cancellation Policy: If you need to cancel a paid consultation for which payment has been successfully made and a confirmation number has been generated, and if the consultation hasn’t concluded due to any avoidable/unavoidable reason(s), we must be notified of the same in writing via email at support@founnect.com.

Cancellation charges will apply from the date we receive your email. Cancellation requests must be made no later than 24 hours before the final delivery time/appointment time.

Our Customer Service team will contact you within 7 business days, and if the Professional has not delivered the booked consultation, we will refund your money within 15 business days from the day the cancellation request was received.

Please note that there will be a nominal deduction (10%) in the refunded amount to cover online payment processing fees. The refund will be directly processed to your Bank/Credit Card account used for the payment.

8 (c). Refund Policy: If your consultation request is accepted but later rejected or cancelled due to unexpected circumstances, you will have the option to opt for another consultation request or receive a complete refund, credited to your account within 15 working days.

If you are accidentally overcharged on your credit card/debit card/payment account, please inform Founnect.com immediately. Founnect.com will refund the excess amount to your Payment Account within 15 working days. Conversely, if the transaction amount during payment is less than the actual fee amount, Founnect.com will debit the outstanding amount from your Payment Account and notify you accordingly.

In most cases, Founnect.com will not provide refunds except as mentioned in the Refund Policy. However, in exceptional circumstances, our team will collaborate with you to find a mutually acceptable resolution. We aim to be objective, fair, and reasonable in resolving such situations to maintain a positive relationship with consumers. The maximum refund amount claimable from Founnect.com cannot exceed the amount paid by the user for availing the Professional’s service(s) on Founnect.com.

No refund can be claimed from Founnect.com for any amount paid directly to the Lawyer by the user.

Please be aware that a nominal deduction of 10% will be applied to the refunded amount to cover online payment processing fees. The refund will be directly processed to your Bank/Credit Card account used for the payment.

9.SUSPENSION DUE TO NON-COMPLIANCE WITH AGREEMENT

Founnect.com will endeavour to provide you with the best services for your payment. However, Founnect.com shall not be liable and shall declare any service guarantee void in the event of one or more of the following circumstances:Top of FormBottom of Form

1. Inaccurate details provided, including contact information (user’s email and/or phone number), username, and Payment account information.
2. Transaction failure with your bank due to reasons such as insufficient funds, fraudulent access, processing failure by our Affiliate merchants, or your bank.
3. Circumstances beyond the control of Founnect.com (such as fire, flood, or external interference) that prevent the proper execution of the transaction.
4. Non-response to requests for additional information (if needed) by the Lawyers to facilitate a consultation. You will be notified via email, phone, SMS, or a message in your Founnect.com account.
5. Breach of any of the Terms and Conditions of this Agreement and/or the Terms and Conditions of using Founnect.com.

10. DISCLAIMER

You understand that using the services provided by Founnect.com is entirely at your own risk, and you bear full responsibility for any risks involved. We have no editorial control over or accountability for any content that appears on Founnect.com that is contributed by users or third-party content providers. To the maximum extent permitted by applicable law, all products, services, and information on or made available via this website are offered “as is,” without any kind of warranty, expressed or implied. All representations and warranties, whether stated or implied, statutory or otherwise, are hereby disclaimed by Founnect.com and its Affiliates. This includes, but is not limited to, warranties of merchantability, appropriateness, title, non-infringement, and freedom from virus strains.

Links from Founnect.com may lead to third-party content, which may be available on Founnect.com. We disclaim all liability and will not be held accountable for any errors, misrepresentations, falsehoods, defamation, omissions, obscenity, pornography, or profanity in any statements, opinions, representations, or other content included in any third-party content that appears on the website. You acknowledge that the information and viewpoints contained in the third-party material are entirely the author’s own and neither our endorsement nor our endorsement of them is implied.

You expressly understand and agree that Founnect.com shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of revenues, profits, goodwill, use, data, failure to realize expected savings, or other intangible losses (even if Founnect.com has been advised of the possibility of such damages), resulting from:

(i) The use or inability to use the website; (ii) The cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the website; (iii) Invalid destinations, transmission errors, or unauthorized access to or alteration of your transmissions or data; (iv) Statements or conduct of any third party on the website; (v) Your failure to receive any third-party services or products requested through the website; or (vi) Any other matter relating to the website.

In no event is Founnect.com liable to you for an amount in excess of the amount paid by you to Founnect.com for the services in question, if any.

12. ENTIRE AGREEMENT

These Terms & Conditions, along with the privacy policy, which is considered part of this agreement and incorporated herein by reference, constitute the entire agreement between you and Founnect.com regarding the subject matter herein. This agreement supersedes all prior oral or written communications (if any) regarding such subject matter.

The Terms & Conditions shall begin upon your first use of the Website in any manner. This agreement and the licenses granted herein will be terminated without prior notice if you (or any authorized person using your account) fail to adhere to the Terms and Conditions outlined in this agreement or the usage guidelines set by Founnect.com from time to time.

From time to time, we may update these terms. Your continued use of the service will signify your acceptance of the updated terms.

The provisions of these Terms & Conditions are separable. If any provision is found to be invalid or unenforceable, it will not affect the validity or enforceability of the remaining provisions. The invalid or unenforceable provision will be reformed, if reasonably possible, to the extent necessary to make it enforceable.

Founncet.com’s failure to enforce any right or provision of these Terms & Conditions does not waive such right or provision. The failure of either party to exercise any right provided herein does not waive any further rights.

By using this Website and/or registering for the Services, you electronically sign these Terms & Conditions and the Privacy Policy, which are considered part of this agreement and incorporated herein by reference. You also consent to electronically enter into agreements with us.

Acknowledge and understand the risks and benefits of online consultations.

Agree to assume the risk associated with the limitations mentioned above while using Founnect.com. I also acknowledge and agree that no warranty or guarantee has been provided regarding any consultation on a specific problem, result, or solution to my query/problem.

Understand that Founnect.com is subject to laws protecting privacy and confidentiality of personal and/or Professional Services’ information. I agree that my information will be used only as defined by Founncet.com’s Terms & Conditions and Privacy Statement.

Acknowledge that consultations through Founnect.com may involve electronic communication of my personal information to other professionals, including those located in other areas or states.
