TERMS AND CONDITIONS
- INTRODUCTION
These Terms and Conditions (“Terms”) govern the access to and use of the website, mobile applications, communication channels, technology platform, and related services operated by Founnect Solutions LLP, a limited liability partnership incorporated under the laws of India (“Founnect”, “Company”, “we”, “our”, or “us”).
Founnect operates a technology-enabled professional services facilitation platform designed to connect individuals, businesses, startups, entrepreneurs, and organizations with verified independent professionals across various domains, including but not limited to legal services, taxation, chartered accountancy, company secretarial services, compliance, finance, advisory, business consulting, education, technology, wellness, and other professional services.
These Terms constitute a legally binding agreement between Founnect and every person who accesses, browses, registers on, communicates through, or otherwise uses the Platform (“User”, “you”, or “your”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, and any other policies published by Founnect from time to time.
If you do not agree with these Terms, you must immediately discontinue use of the Platform.
- DEFINITIONS
For the purposes of these Terms, unless the context otherwise requires:
“Platform”
Means the Founnect website, mobile applications, communication systems, WhatsApp channels, software, technology infrastructure, scheduling systems, customer support channels, and any related services operated by Founnect.
“User”
Means any individual, company, partnership, organization, startup, business entity, representative, or other person who accesses, browses, registers on, communicates through, or uses the Platform.
“Professional”
Means any independent lawyer, advocate, chartered accountant, company secretary, consultant, advisor, tax professional, financial expert, educator, wellness professional, technology expert, or any other service provider onboarded by Founnect.
“Consultation”
Means any interaction, meeting, discussion, advisory session, review, opinion, assessment, or professional engagement facilitated through the Platform.
“Service Request”
Means a request submitted by a User seeking consultation, advisory services, professional assistance, representation, documentation, compliance support, or any other professional service.
“Professional Services”
Means services provided directly by a Professional to a User.
“Platform Fee”
Means the fees retained by Founnect in consideration of technology infrastructure, customer support, verification processes, scheduling, consultation coordination, payment processing, platform maintenance, operational management, business development, and related services.
“Content”
Means any text, documents, images, graphics, audio, video, messages, information, data, materials, comments, reviews, ratings, communications, or other content uploaded, submitted, transmitted, displayed, or otherwise made available through the Platform.
“Applicable Law”
Means all laws, regulations, rules, notifications, governmental orders, professional regulations, regulatory guidelines, judicial decisions, and legal requirements applicable within India.
- ACCEPTANCE OF TERMS
By accessing or using the Platform, you expressly acknowledge and agree that:
- a) You have read and understood these Terms;
- b) You possess the legal capacity to enter into binding agreements;
- c) You agree to comply with all provisions contained herein;
- d) You agree to comply with all applicable laws and regulations;
- e) You agree to comply with any additional policies published by Founnect from time to time;
- f) Your continued use of the Platform shall constitute ongoing acceptance of these Terms.
If you are accessing the Platform on behalf of a company, partnership, organization, or any other legal entity, you represent and warrant that you possess the authority to bind such entity to these Terms.
In such cases, references to “you” shall include both the individual user and the represented entity.
- ELIGIBILITY
To access or use the Platform, you must:
- a) Be at least eighteen (18) years of age;
- b) Possess the legal capacity to enter into binding agreements under Applicable Law;
- c) Not be prohibited by Applicable Law from accessing or using the Platform;
- d) Provide accurate, complete, and current information when requested.
Individuals below eighteen (18) years of age may access services only through a parent, legal guardian, or authorized representative who accepts these Terms on their behalf.
Founnect reserves the right to request identity verification, supporting documentation, or additional information at any time for compliance, verification, fraud prevention, or security purposes.
Founnect may refuse, suspend, restrict, or terminate access to any User who fails to satisfy eligibility requirements.
- NATURE OF PLATFORM SERVICES
Founnect is a technology-enabled consultation facilitation platform.
Founnect does not itself provide legal advice, tax advice, financial advice, company secretarial services, regulatory advice, educational advice, medical advice, wellness advice, or any other professional services.
The primary role of Founnect is to facilitate connections between Users and verified independent Professionals through technology-driven processes.
The services provided by Founnect may include:
- Requirement assessment
- User support
- Professional verification
- Professional matching and assignment
- Consultation scheduling
- Communication coordination
- Payment facilitation
- Consultation management support
- Platform administration
- Customer assistance
- Operational and technology support
Upon receipt of a Service Request, Founnect may review the information provided by the User and facilitate assignment or recommendation of one or more suitable Professionals based on factors including:
- Nature of the requirement
- Professional expertise
- Availability
- Location
- Service category
- Complexity of the matter
- Budget preferences
- Other operational considerations
Founnect does not guarantee that any particular Professional will be assigned to a User.
Founnect further does not guarantee the availability of any Professional at any specific time.
The assignment or recommendation of a Professional by Founnect shall not constitute:
- a) An endorsement;
- b) A certification;
- c) A guarantee of competence;
- d) A guarantee of service quality;
- e) A guarantee of outcome;
- f) A recommendation to proceed with the engagement.
Users remain solely responsible for determining whether to engage with any assigned Professional.
Professionals remain solely responsible for all professional opinions, advice, recommendations, services, documentation, certifications, filings, representations, and deliverables provided during any engagement.
Founnect acts solely as a facilitation and coordination platform and shall not be deemed a provider of Professional Services.
- USER ACCOUNTS, REGISTRATION AND PLATFORM ACCESS
To access certain services, Users may be required to create an account, submit a service request, communicate through designated channels, or otherwise provide information requested by Founnect.
Users agree to provide accurate, complete, current, and truthful information at all times.
Users shall be solely responsible for:
- Maintaining the confidentiality of account credentials;
- Restricting unauthorized access to their account;
- Ensuring information remains updated and accurate;
- All activities conducted through their account.
Users shall immediately notify Founnect of any suspected unauthorized access, security breach, misuse, or compromise of their account.
Founnect reserves the right to refuse registration, suspend accounts, restrict access, or terminate accounts where it reasonably believes that:
- a) False or misleading information has been provided;
- b) Fraudulent activity may be occurring;
- c) Applicable laws may be violated;
- d) Platform policies have been breached;
- e) Continued access may expose Founnect, Professionals, or other Users to risk.
Founnect shall not be liable for losses arising from unauthorized use of User accounts.
- PROFESSIONAL VERIFICATION
Founnect is committed to maintaining trust and quality within its ecosystem.
Accordingly, Founnect may conduct verification procedures before onboarding Professionals onto the Platform.
Such verification may include:
- Identity verification;
- Registration verification;
- License verification;
- Qualification verification;
- Professional membership verification;
- Practice area verification;
- Experience verification;
- KYC documentation review;
- Background and compliance checks where permissible under law.
Professionals may be required to submit documents including but not limited to:
- Government-issued identification;
- Registration certificates;
- Professional licenses;
- Educational qualifications;
- Membership certificates;
- Tax registrations;
- Banking details;
- Practice-related information.
Founnect reserves the right to request additional information or documentation at any time.
Notwithstanding any verification undertaken, Users acknowledge and agree that verification does not constitute:
- a) An endorsement by Founnect;
- b) A recommendation by Founnect;
- c) Certification of competence;
- d) Certification of expertise;
- e) Certification of service quality;
- f) A guarantee of professional conduct.
Users remain responsible for exercising independent judgment regarding any Professional assigned through the Platform.
- INDEPENDENT PROFESSIONALS
All Professionals associated with Founnect operate as independent service providers.
Nothing contained in these Terms shall be interpreted as creating:
- Employment;
- Agency;
- Partnership;
- Joint venture;
- Franchise;
- Representative relationship;
- Employer-employee relationship;
between Founnect and any Professional.
Professionals retain complete independence regarding:
- Professional opinions;
- Advice;
- Recommendations;
- Service methodology;
- Documentation;
- Certifications;
- Filings;
- Representations;
- Engagement decisions.
Founnect shall not control the professional judgment exercised by any Professional.
Professionals remain solely responsible for compliance with:
- Applicable laws;
- Regulatory requirements;
- Licensing obligations;
- Ethical obligations;
- Professional standards;
- Professional conduct rules.
All liability arising from Professional Services shall remain solely with the relevant Professional.
- NO PROFESSIONAL-CLIENT RELATIONSHIP WITH FOUNNECT
Users acknowledge that Founnect does not provide Professional Services.
Submission of:
- An inquiry;
- A service request;
- A booking request;
- Documents;
- Communications;
- Payments;
- Consultation requests;
through the Platform shall not by itself create any:
- Lawyer-client relationship;
- Advocate-client relationship;
- Chartered Accountant-client relationship;
- Company Secretary-client relationship;
- Consultant-client relationship;
- Advisor-client relationship;
- Fiduciary relationship;
between the User and Founnect.
Any professional-client relationship, if established, shall arise solely between the User and the assigned Professional in accordance with Applicable Law.
Founnect shall not be deemed a party to such professional relationship.
- PROFESSIONAL ASSIGNMENT AND REPLACEMENT
Upon receiving a Service Request, Founnect may assess the User’s requirements and facilitate assignment of one or more Professionals.
Assignment decisions may be based upon:
- Nature of the requirement;
- Professional expertise;
- Availability;
- Geographic considerations;
- Budget preferences;
- Urgency;
- Service category;
- Other operational considerations.
Users acknowledge that Founnect retains discretion regarding assignment decisions.
Users shall not have any automatic entitlement to consultation with any specific Professional.
Professionals may decline assignments due to:
- Conflicts of interest;
- Ethical obligations;
- Regulatory restrictions;
- Professional workload;
- Unavailability;
- Legal limitations;
- Personal reasons.
Where a Professional becomes unavailable after assignment, Founnect may:
- a) Assign a replacement Professional;
- b) Reschedule the consultation;
- c) Offer alternatives in accordance with Platform policies.
Replacement Professionals may possess qualifications, expertise, or experience comparable to the originally assigned Professional.
Founnect does not guarantee that replacement Professionals shall be identical in background, experience, or professional approach.
- PROFESSIONAL AVAILABILITY
Professional availability is subject to:
- Existing commitments;
- Scheduling limitations;
- Regulatory obligations;
- Court appearances;
- Professional workload;
- Emergencies;
- Health conditions;
- Technical disruptions;
- Other unforeseen circumstances.
Founnect does not guarantee:
- Immediate consultations;
- Same-day consultations;
- Availability of a specific Professional;
- Continuous Professional availability.
Estimated consultation times communicated by Founnect are indicative only and shall not constitute binding commitments.
- RIGHT TO REFUSE SERVICE
Founnect reserves the right, at its sole discretion, to refuse, suspend, restrict, or terminate access to the Platform or any service where it reasonably believes that:
- a) Applicable laws may be violated;
- b) Fraudulent activity may occur;
- c) False information has been submitted;
- d) Platform policies have been breached;
- e) User conduct poses risk to Professionals, Users, employees, contractors, or the Platform;
- f) Service requests involve unlawful activities;
- g) Regulatory concerns arise;
- h) The requested engagement falls outside Platform policies;
- i) Continued provision of services may adversely affect Founnect’s legal, operational, reputational, or compliance interests.
Founnect shall not be obligated to provide detailed reasons for exercising such rights where doing so may compromise legal obligations, investigations, security interests, or operational requirements.
Any payments, refunds, or adjustments resulting from refusal of service shall be governed by the applicable Refund, Cancellation & Rescheduling Policy.
- FEES, PAYMENTS AND PLATFORM CHARGES
Certain services made available through the Platform may require payment of consultation fees, service fees, professional fees, platform fees, taxes, governmental levies, or other applicable charges.
Users agree to pay all applicable charges before accessing paid services unless otherwise expressly agreed in writing by Founnect.
The fees displayed, quoted, communicated, or invoiced through the Platform may include:
- Professional consultation fees;
- Platform facilitation fees;
- Payment processing charges;
- Applicable taxes;
- Government levies;
- Administrative charges;
- Other applicable charges.
Founnect reserves the right to modify fees, pricing structures, consultation packages, service categories, payment mechanisms, or commercial arrangements at any time.
Updated fees shall apply prospectively and shall not affect services already confirmed and paid for unless otherwise agreed.
Users acknowledge that Founnect may retain Platform Fees in consideration of:
- Technology infrastructure;
- Professional verification;
- Consultation scheduling;
- Communication coordination;
- Customer support;
- Payment processing;
- Platform administration;
- Business development;
- Marketing activities;
- Operational management;
- Compliance activities;
- Related facilitation services.
Platform Fees shall be separate from Professional Fees and may be retained by Founnect pursuant to its commercial arrangements.
Users shall remain responsible for all taxes applicable to payments made through the Platform.
- PROFESSIONAL FEES AND COMMERCIAL ARRANGEMENTS
Professional fees for consultations or services may vary based on:
- Service category;
- Complexity of the matter;
- Professional expertise;
- Consultation duration;
- Documentation requirements;
- Representation requirements;
- Other relevant factors.
Users acknowledge that Professionals and Founnect may maintain separate commercial arrangements governing distribution of fees collected through the Platform.
Such arrangements are confidential and shall not affect the User’s obligations under these Terms.
Founnect reserves the right to structure commercial relationships with Professionals in any lawful manner deemed appropriate for operation of the Platform.
Nothing in these Terms shall require Founnect to disclose internal commercial arrangements with Professionals.
- ELECTRONIC PAYMENTS
Payments may be processed through third-party payment processors, payment gateways, banks, financial institutions, UPI providers, wallet providers, and other authorized payment service providers.
By making a payment through the Platform, Users represent and warrant that:
- a) They are authorized to use the selected payment method;
- b) Payment information provided is accurate;
- c) Transactions are lawful;
- d) Funds originate from lawful sources.
Founnect does not store complete:
- Credit card numbers;
- Debit card numbers;
- Card security codes;
- UPI PINs;
- Internet banking passwords;
- Payment credentials.
Such information is processed directly by authorized payment providers.
Users acknowledge that Founnect shall not be liable for:
- Banking failures;
- UPI failures;
- Payment gateway failures;
- Network disruptions;
- Unauthorized transactions caused by User negligence;
- Technical issues attributable to third-party payment providers.
Payment confirmation shall be subject to successful receipt and verification of funds.
- CONSULTATION PROCESS
Following receipt of a Service Request, Founnect may:
- Review the request;
- Seek clarification;
- Assess service requirements;
- Coordinate with Professionals;
- Schedule consultations;
- Facilitate communication between Users and Professionals.
Consultations may be conducted through:
- Google Meet;
- Telephone;
- Video conferencing platforms;
- Audio conferencing platforms;
- Approved communication tools;
- Other consultation methods approved by Founnect.
Users shall be responsible for:
- Providing accurate information;
- Providing relevant documents;
- Attending consultations on time;
- Ensuring adequate internet connectivity;
- Maintaining professional conduct during consultations.
Professionals shall determine the manner in which Professional Services are delivered, subject to applicable laws and professional standards.
Founnect shall not be liable for delays arising from:
- User conduct;
- Professional scheduling conflicts;
- Technical issues;
- Connectivity failures;
- Third-party platform disruptions.
- CONSULTATION DURATION
Consultations shall be limited to the duration communicated or booked through the Platform.
Users acknowledge that consultation fees are generally linked to consultation duration and scope.
Any request for:
- Additional consultation time;
- Extended advisory services;
- Additional meetings;
- Documentation work;
- Representation;
- Follow-up services;
may require separate approval and payment.
Professionals shall retain discretion regarding acceptance of additional engagements.
Completion of a consultation shall not obligate the Professional to provide ongoing services beyond the agreed scope.
- USER OBLIGATIONS
Users agree that they shall:
- a) Provide accurate, complete, and truthful information;
- b) Provide authentic documents and records;
- c) Use the Platform only for lawful purposes;
- d) Cooperate with reasonable requests for information;
- e) Maintain respectful communications;
- f) Comply with Platform policies;
- g) Comply with Applicable Law.
Users shall not:
- a) Provide false, misleading, fraudulent, or forged information;
- b) Misrepresent their identity;
- c) Impersonate another person;
- d) Upload malicious software;
- e) Attempt unauthorized access to systems;
- f) Interfere with Platform operations;
- g) Circumvent Platform processes;
- h) Engage in unlawful activity;
- i) Abuse Professionals, employees, contractors, or other Users.
Users shall remain solely responsible for all information submitted through the Platform.
- DOCUMENTS AND INFORMATION PROVIDED BY USERS
Users represent and warrant that all information, documents, records, statements, data, and instructions provided through the Platform are:
- Accurate;
- Complete;
- Authentic;
- Lawful;
- Up to date.
Professionals and Founnect shall be entitled to rely upon such information without independent verification unless otherwise required by law.
Founnect shall not be liable for losses arising from:
- Incorrect information;
- Incomplete information;
- Misleading information;
- Forged documents;
- Fraudulent representations;
- Delayed information provided by Users.
Users shall indemnify and hold harmless Founnect against claims arising from inaccurate or unlawful information provided by them.
- PROFESSIONAL OBLIGATIONS
Professionals onboarded on the Platform shall be responsible for:
- Maintaining valid registrations and licenses;
- Complying with applicable laws;
- Complying with professional conduct rules;
- Maintaining confidentiality obligations;
- Exercising professional judgment independently;
- Delivering services competently and ethically.
Professionals shall remain solely responsible for:
- Professional advice;
- Opinions;
- Certifications;
- Documentation;
- Filings;
- Representations;
- Deliverables.
Founnect shall not supervise or control professional judgment exercised by Professionals.
Users acknowledge that all Professional Services are delivered independently by the relevant Professional.
- PROFESSIONAL CONDUCT AND REGULATORY COMPLIANCE
Professionals associated with Founnect shall remain solely responsible for compliance with all laws, regulations, licensing requirements, professional standards, codes of conduct, ethical obligations, and regulatory frameworks applicable to their profession.
Without limiting the foregoing, Professionals shall remain responsible for compliance with:
- Bar Council rules and regulations;
- ICAI regulations and guidelines;
- ICSI regulations and guidelines;
- Professional licensing requirements;
- Confidentiality obligations;
- Conflict of interest requirements;
- Applicable statutory obligations;
- Industry-specific regulations.
Founnect does not supervise, direct, or control the professional judgment exercised by Professionals.
Users acknowledge that Professional Services are rendered independently by Professionals and not by Founnect.
Any professional misconduct, negligence, malpractice, breach of professional duty, ethical violation, or regulatory non-compliance shall remain the sole responsibility of the concerned Professional.
Founnect reserves the right, at its sole discretion, to suspend, restrict, remove, or terminate access of any Professional found to have violated applicable laws, professional standards, ethical obligations, or Platform policies.
- PROFESSIONAL ADVERTISING COMPLIANCE
Founnect recognizes that certain professions are subject to advertising restrictions, solicitation restrictions, ethical obligations, and professional conduct requirements.
Accordingly:
- Founnect does not guarantee professional engagements;
- Founnect does not rank Professionals based upon superiority;
- Founnect does not certify Professionals as the best, top-rated, or preferred professionals;
- Founnect does not publish comparative advertisements between Professionals;
- Founnect does not provide misleading endorsements;
- Founnect does not guarantee service outcomes.
Professionals are onboarded, verified, assigned, or recommended based upon operational criteria, user requirements, availability, suitability, and Platform processes.
Nothing contained on the Platform shall be interpreted as professional advertising, solicitation, endorsement, recommendation, certification, or guarantee prohibited by applicable professional regulations.
Users acknowledge that the assignment of a Professional by Founnect does not imply endorsement of that Professional.
- NON-CIRCUMVENTION
Users and Professionals acknowledge that Founnect invests substantial resources in:
- Technology development;
- Professional onboarding;
- Client acquisition;
- Marketing;
- Requirement assessment;
- Consultation coordination;
- Scheduling;
- Customer support;
- Payment processing;
- Platform administration.
Accordingly, any User and Professional introduced through the Platform agree not to knowingly circumvent Founnect in relation to engagements originating through the Platform.
Neither party shall knowingly:
- a) Structure transactions to avoid Platform fees;
- b) Misrepresent the origin of an engagement;
- c) Bypass Platform processes for engagements introduced through Founnect;
- d) Engage in conduct intended to deprive Founnect of fees associated with introductions made through the Platform.
Violation of this clause may result in:
- Suspension;
- Termination;
- Recovery of damages;
- Recovery of lost Platform fees;
- Injunctive relief;
- Other remedies available under Applicable Law.
Nothing in this clause shall prohibit lawful interactions expressly approved by Founnect in writing.
- REVIEWS, RATINGS, TESTIMONIALS AND FEEDBACK
Users may voluntarily provide reviews, ratings, testimonials, comments, suggestions, recommendations, feedback, or other content relating to their experience with the Platform.
By submitting such content, Users grant Founnect a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to:
- Use;
- Reproduce;
- Modify;
- Publish;
- Display;
- Distribute;
- Promote;
- Analyze;
- Incorporate into Platform services;
such content for business, operational, marketing, research, training, compliance, service improvement, and promotional purposes.
Users represent that submitted content:
- Is truthful;
- Is lawful;
- Does not infringe third-party rights;
- Does not contain defamatory material;
- Does not violate confidentiality obligations.
Founnect reserves the right to remove, edit, reject, or moderate reviews or feedback at its sole discretion.
- PRIVACY AND COMMUNICATION CONSENT
By accessing or using the Platform, Users expressly consent to the collection, storage, processing, sharing, and use of information in accordance with Founnect’s Privacy Policy.
Users further consent to receiving communications through:
- WhatsApp;
- SMS;
- Email;
- Telephone;
- Video conferencing platforms;
- Customer support channels;
- Automated communication systems;
- Other communication channels utilized by Founnect.
Such communications may include:
- Consultation confirmations;
- Scheduling updates;
- Payment notifications;
- Service reminders;
- Professional assignment updates;
- Customer support communications;
- Platform notices;
- Legal notices;
- Compliance communications.
Users acknowledge that such communications may be essential for delivery of Platform services.
- CONSULTATION RECORDINGS
Certain consultations may be recorded for:
- Quality assurance;
- Training;
- Compliance;
- Dispute resolution;
- Service improvement;
- Security purposes.
No consultation shall be recorded by Founnect without obtaining consent where required by Applicable Law.
Users and Professionals acknowledge that unauthorized recording, reproduction, distribution, publication, or disclosure of consultations may violate legal rights and confidentiality obligations.
Founnect reserves the right to retain consultation recordings for periods reasonably necessary to:
- Comply with legal obligations;
- Resolve disputes;
- Investigate complaints;
- Protect Platform interests.
- COMPLAINT RESOLUTION
Users may submit complaints relating to:
- Consultation quality;
- Professional conduct;
- Scheduling issues;
- Payment issues;
- Platform functionality;
- Customer support interactions;
- Other Platform-related concerns.
Complaints may be submitted through designated support channels.
Upon receipt of a complaint, Founnect may:
- a) Review available information;
- b) Request supporting documents;
- c) Seek clarification from relevant parties;
- d) Conduct internal review;
- e) Facilitate communication between parties;
- f) Implement corrective actions where appropriate.
Users acknowledge that Founnect acts solely as a facilitation platform and does not function as:
- A court;
- A regulatory authority;
- A disciplinary authority;
- A professional licensing authority;
- An arbitration institution.
Accordingly, Founnect shall not be obligated to adjudicate disputes or determine legal rights between Users and Professionals.
Founnect may, however, take reasonable measures to preserve Platform integrity and protect Users and Professionals.
- SUSPENSION AND TERMINATION
Founnect reserves the right to suspend, restrict, disable, or terminate access to the Platform at any time where it reasonably believes that:
- a) These Terms have been violated;
- b) Applicable laws may have been violated;
- c) Fraudulent activity may be occurring;
- d) Security risks exist;
- e) Platform integrity may be compromised;
- f) Abuse of the Platform has occurred;
- g) Continued access may expose Founnect to legal, operational, financial, or reputational risks.
Suspension or termination may occur with or without prior notice where circumstances reasonably require immediate action.
Upon termination:
- Access rights may cease immediately;
- Outstanding obligations shall survive;
- Founnect may retain records as required by law;
- Applicable legal remedies shall remain available.
Termination shall not affect rights or obligations accrued prior to termination.
- THIRD-PARTY SERVICES AND PLATFORMS
The Platform may utilize, integrate with, or provide access to third-party services, technologies, software, payment processors, communication providers, hosting providers, analytics tools, and external platforms.
Such third-party services may include, without limitation:
- Payment gateways;
- Banking institutions;
- UPI providers;
- Google Meet;
- WhatsApp Business;
- Email service providers;
- SMS service providers;
- Cloud hosting providers;
- Analytics providers;
- Customer support systems;
- Other technology service providers.

Founnect does not own or control third-party services and shall not be liable for:
- a) Service interruptions;
- b) Data loss;
- c) Security incidents;
- d) Technical failures;
- e) Service unavailability;
- f) Errors or omissions attributable to third-party providers.
Users access such third-party services at their own risk.
- NO GUARANTEE OF OUTCOME
Users expressly acknowledge that Professional Services involve professional judgment and are dependent upon numerous factors beyond the control of Founnect.
Accordingly, neither Founnect nor any Professional guarantees:
- Legal outcomes;
- Court decisions;
- Government approvals;
- Registrations;
- Certifications;
- Tax outcomes;
- Financial outcomes;
- Business outcomes;
- Compliance outcomes;
- Funding outcomes;
- Commercial success;
- Regulatory approvals;
- Specific results of any consultation.
Professional opinions provided during consultations represent the independent judgment of the Professional based upon information available at the relevant time.
Dissatisfaction with advice, opinions, recommendations, strategies, or outcomes shall not constitute grounds for claims against Founnect.
- INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights associated with the Platform shall remain the exclusive property of Founnect or its licensors.
Such intellectual property includes, without limitation:
- Trade names;
- Trademarks;
- Logos;
- Brand elements;
- Website content;
- Software;
- Source code;
- Databases;
- Graphics;
- Visual designs;
- Text;
- Documentation;
- Processes;
- Business methods;
- Platform architecture.
Nothing contained in these Terms shall transfer any ownership rights to Users.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes.
Users shall not:
- a) Copy;
- b) Modify;
- c) Reproduce;
- d) Distribute;
- e) Reverse engineer;
- f) Create derivative works from;
- g) Commercially exploit;
any part of the Platform without prior written consent from Founnect.
Unauthorized use may result in legal action.
- DISCLAIMER
The Platform and all related services are provided on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by Applicable Law, Founnect disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including warranties relating to:
- Accuracy;
- Completeness;
- Reliability;
- Availability;
- Fitness for a particular purpose;
- Non-infringement;
- Merchantability;
- Service continuity;
- Security.
Founnect does not warrant that:
- a) The Platform will operate without interruption;
- b) The Platform will be error-free;
- c) The Platform will be free from vulnerabilities;
- d) Consultations will achieve desired outcomes;
- e) Assigned Professionals will meet User expectations.
Users assume full responsibility for evaluating and acting upon any Professional advice received.
- LIMITATION OF LIABILITY
To the maximum extent permitted by Applicable Law, Founnect, its partners, designated partners, employees, consultants, affiliates, contractors, service providers, licensors, and representatives shall not be liable for:
- Indirect damages;
- Consequential damages;
- Incidental damages;
- Special damages;
- Exemplary damages;
- Punitive damages;
- Loss of profits;
- Loss of revenue;
- Loss of opportunity;
- Loss of goodwill;
- Loss of business;
- Loss of data;
- Reputational harm;
arising out of or relating to:
- a) Use of the Platform;
- b) Inability to use the Platform;
- c) Professional Services;
- d) Consultation outcomes;
- e) Third-party services;
- f) User conduct;
- g) Professional conduct;
- h) Data loss;
- i) Technical failures.
In all circumstances, the aggregate liability of Founnect shall not exceed the amount actually paid by the User to Founnect for the specific service giving rise to the claim during the preceding three (3) months.
- INDEMNITY
Users agree to defend, indemnify, and hold harmless Founnect, its partners, designated partners, employees, consultants, affiliates, contractors, representatives, and service providers from and against any claims, losses, liabilities, damages, costs, expenses, penalties, judgments, settlements, and legal fees arising from:
- a) Violation of these Terms;
- b) Violation of Applicable Law;
- c) Fraudulent conduct;
- d) User-submitted information;
- e) User-provided documents;
- f) Intellectual property infringement;
- g) Misrepresentation by the User;
- h) Misuse of the Platform.
This indemnity obligation shall survive termination of these Terms.
- FORCE MAJEURE
Founnect shall not be liable for any delay, interruption, suspension, failure, or inability to perform obligations where such failure results from circumstances beyond its reasonable control.
Such circumstances may include:
- Natural disasters;
- Floods;
- Earthquakes;
- Pandemics;
- Epidemics;
- Government actions;
- Regulatory restrictions;
- Internet failures;
- Power outages;
- Cyberattacks;
- Telecommunications failures;
- Labor disputes;
- Civil unrest;
- War;
- Terrorist activities;
- Third-party service failures;
- Any similar events beyond reasonable control.
Performance obligations shall be suspended during the continuation of such events.
- GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India.
Any dispute, claim, controversy, or proceeding arising out of or relating to:
- These Terms;
- Use of the Platform;
- Consultations;
- Professional Services;
- Payments;
- Platform operations;
shall be subject to the exclusive jurisdiction of the competent courts located in Noida, Uttar Pradesh, India.
Users expressly submit to such jurisdiction.
- SURVIVAL
The following provisions shall survive termination, suspension, expiration, or cessation of use of the Platform:
- Payment obligations;
- Non-circumvention obligations;
- Intellectual Property Rights;
- Confidentiality obligations;
- Indemnity obligations;
- Limitation of Liability;
- Governing Law;
- Jurisdiction;
- Dispute-related provisions;
- Any provisions intended by their nature to survive.
- AMENDMENTS
Founnect reserves the right to modify, amend, update, revise, replace, or discontinue any portion of these Terms at any time.
Updated Terms shall become effective upon publication on the Platform unless otherwise specified.
Continued use of the Platform following publication of updated Terms shall constitute acceptance of such modifications.
Users are encouraged to periodically review the Terms.
- ENTIRE AGREEMENT
These Terms, together with:
- Privacy Policy;
- Refund, Cancellation & Rescheduling Policy;
- Professional Onboarding Agreements;
- Platform Policies;
- Other legal notices published by Founnect;
constitute the entire agreement between the User and Founnect concerning use of the Platform.
These Terms supersede all prior communications, discussions, representations, understandings, and agreements relating to the subject matter herein.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
BY ACCESSING, USING, REGISTERING ON, COMMUNICATING THROUGH, OR OTHERWISE UTILIZING THE FOUNNECT PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS.
